Terms of Service

Effective Date: March 1, 2026

1. ACCEPTANCE OF TERMS By accessing the Site (www.jasmn.ai) or engaging JASM’N AI for AI Agent services, you (“Client,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our Services.

2. SCOPE OF SERVICES JASM’N AI provides AI Agent services powered by the Go High Level platform. Specific deliverables, timelines, and scope will be outlined in a separate Statement of Work (SOW) or invoice. Any requests outside the original SOW ("scope creep") will be billed at our standard hourly rate.

3. FEES, BILLING & REFUND POLICY

Deposits & Payments: Work commences only upon receipt of the agreed-upon deposit. Invoices are due upon receipt. JASM'N AI reserves the right to suspend AI Agent access if payments are more than 7 days late.

Milestone-Based Refunds: Due to the custom nature of our work, initial deposits are strictly non-refundable.

No refunds will be issued once development/building of the agent in Go High Level has commenced.

Subscriptions & Third-Party Costs: Monthly SaaS/hosting fees are non-refundable for the current billing cycle. Domain purchases and third-party software costs are strictly non-refundable.

4. CLIENT OBLIGATIONS & DELAYS The Client agrees to provide all necessary text, images, and brand assets in a timely manner. If a project is stalled for more than 30 days due to Client inaction, JASM’N AI reserves the right to archive the project and charge a reactivation fee to resume work.

5. INTELLECTUAL PROPERTY & OWNERSHIP

Client Assets: The Client retains full ownership of any logos, text, and imagery provided to JASM’N AI

Platform Restrictions: The Client acknowledges that Go High Level infrastructure, workflows, and proprietary code remain the intellectual property of their respective owners and cannot be exported to other platforms without a full rebuild.

Portfolio Rights: JASM’N AI reserves the right to display the completed work in our digital portfolio and marketing materials.

6. NO GUARANTEE OF RESULTS While JASM’N AI utilizes industry best practices for AI Agents, we do not guarantee specific business results, search engine rankings, lead generation volumes, or sales revenue. Marketing success depends on market factors beyond our control.

7. WARRANTIES & DISCLAIMERS THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." JASM’N AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JASM’N AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR SERVER DOWNTIME. JASM’N’S AI TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO JASM’N AI IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION The Client agrees to indemnify, defend, and hold harmless JASM’N AI against any legal claims, damages, or expenses (including attorney's fees) arising from materials the Client provided (e.g., copyright or trademark infringement claims regarding images or text supplied by the Client).

10. DISPUTE RESOLUTION & GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Canyon County, Idaho, rather than in court. Class Action Waiver: Both parties agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. TERMINATION Either party may terminate this agreement with 30 days' written notice. Upon termination, the Client must pay for all work completed up to the date of termination. Sections 5, 7, 8, 9, and 10 shall survive termination.
